New Don McClain research examines why commercial real estate owners facing maturing debt may need recapitalization strategies that extend beyond traditional senior refinancing

Medro Advisors today highlighted a new multi-platform research series examining an increasingly important issue for commercial real estate owners:
A refinancing problem can ultimately become a capital-structure problem.
Commercial property owners approaching maturity may begin with the assumption that the objective is simply to replace an existing mortgage with another senior loan of approximately the same size.
But when today's underwriting supports less replacement debt than the existing payoff, the transaction changes.
The difference becomes a capital gap.
Addressing that gap may require more than another lender. Depending upon the property, sponsorship, timing and business plan, owners may need to evaluate:
Senior debt
Bridge and transitional capital
Preferred equity
Mezzanine financing
Additional sponsor equity
Joint-venture equity
Existing-lender restructuring
Recapitalization
Asset disposition
The central strategic question therefore becomes:
What capital structure gives the property and ownership group the strongest executable path forward?
From Refinancing to Capital Strategy
The August 23 research extends Medro Advisors' ongoing analysis of the 2026 commercial real estate maturity environment.
A commercial property can remain occupied, cash-flowing and fundamentally sound while still confronting a financing problem.
Changes in interest rates, valuations, debt-service requirements, debt yield, leverage standards and lender appetite can reduce the amount of replacement senior financing available at maturity.
That creates an important distinction:
A broken capital structure does not necessarily mean broken real estate.
Sometimes the underlying asset remains viable while the financing structure created during a previous capital-market environment no longer works.
In those situations, the objective may shift from conventional refinancing to broader recapitalization and transaction strategy.
The Capital Stack Creates Additional Strategic Options
A commercial real estate capital structure can potentially include multiple layers.
Senior debt typically provides the foundation.
But when senior financing alone does not provide sufficient proceeds, an owner may need to consider alternative forms of capital.
Bridge financing can potentially create time to complete renovations, improve occupancy, stabilize NOI, execute a business plan or prepare for permanent financing.
Preferred equity or mezzanine capital may potentially address portions of a refinancing gap.
Additional sponsor equity may provide the simplest solution in other transactions.
And some owners may ultimately determine that bringing in a new equity partner, restructuring ownership or selling the asset represents the strongest economic alternative.
There is no universal solution.
The appropriate structure depends upon the complete transaction.
Time Creates Optionality

Improve property operations
Increase NOI
Complete capital improvements
Negotiate with the existing lender

Consider an orderly disposition
The same capital problem identified shortly before maturity can become deadline-driven.
The underlying property may not have changed.
The owner's negotiating position has.
Preparation therefore becomes part of capital strategy.
